By accessing the Site or engaging our Services, you agree to be legally bound by these Terms. Our goal is to eliminate complexity and ensure a transparent partnership as we work to maximize your ROI.
1. Acceptance of Terms and Agreement
By using the SA Tech Universe Site or contracting for any Digital Marketing Services, you confirm that you have read, understood, and agreed to these Terms & Conditions. These Terms, alongside your specific Client Agreement or Statement of Work (SOW), form the entire binding legal agreement between the Client and SA Tech Universe.
2. Service Scope and Client Obligations
2.2 Performance and Warranty Disclaimer
The Client is aware that the success of Digital Marketing Services is contingent on factors outside the control of the Agency (including but not limited to algorithm changes, competitors’ actions, and platform policies). Warranty Disclaimer: SA Tech Universe specifically disclaims all warranties of any kind as to specific results, including but not limited to, guaranteed rankings, fixed conversion rates, or guaranteed traffic volumes from SEO, Paid Ads, or any other Digital Marketing Services. We specifically warrant the exercise of professional expertise and agreed-upon strategies only.
2.3 Client Responsibilities and Cooperation
Client Responsibilities and Cooperation • Access to all necessary third-party accounts (including but not limited to hosting, CMS, Google Analytics, Google Ads, and social media). • Review and approval of all work, content, and ad creatives within [Insert Review Period, such as three (3) business days] of submission. • Ensure that all submitted content, images, and materials do not infringe on any third party’s Intellectual Property rights.
3. Financial Terms and Payment
3.1 Financial Terms and Payment Information
– Payment information and terms for how we will charge your business for the services will be provided to you in either the Client Agreement or in the Statement of Work (SOW) that we send to you.
– Your invoice must be paid in the currency as stated on the invoice (USD, INR, etc.) within the timeframe as stated on the invoice (14 (14) days) of the date of the invoice.
3.2 Late Payments and Service Suspension
1. A late payment fee of either the penalty rate shown on the invoice (1.5% per month) or the maximum rate allowed under the law.
2. An immediate suspension of all services we have promised to deliver (i.e. stopping all seo/content marketing activity, suspending/paying any paid ads campaign, etc.).
3.3 Termination and Refund Policy
– You will be asked to provide us written notice of termination of any service before you terminate such services, which must be given within the notice period stated in the Client Agreement (30 (30) days notice).
– Please note that fees already paid for projects that have been completed, as well as any fees incurred from third-party platforms (i.e., ad spend), are non-refundable. Fees for services we provided to you once the work is completed, and any fees paid for that work cannot be refunded back to you once they are paid.
4. Intellectual Property and Ownership Rights

The client will have complete ownership of the deliverables once they have paid in full.
4.2 Agency Ownership of Tools and Methods
The Agency owns its proprietary technology, methodologies and tools associated with Digital Marketing Services as well as general strategy employed in the fulfillment of Services.
4.3 Agency Right to Showcase
The Agency shall be permitted to use the client’s name, logo, and general description of the Services provided for the purpose of promoting its business by the way of case studies, portfolios and marketing materials.
5. Confidentiality and Data Security
5.1 Confidentiality Obligation

While SA Tech Universe has pledged to adhere to industry-standard Data Security practices when providing Services to their Clients; however, they cannot be held responsible for any Data Security issues (such as hacks or other unauthorized access) arising on 3rd-party software applications used by either the Client or the Client’s Customers (e.g., Google, Facebook, etc.).
6. Limitation of Liability and Indemnification
6.1 Limitation of Liability
On the highest level of authority, SA Tech Universe does not have any legal responsibility for indirect, incidental, punitive or consequential damages (including loss of future income, data or material and interruption of business) arising out of or in connection with these Terms or the Services regardless of whether SA Tech Universe was advised of the possibility of such damages. The Agency’s aggregate Liability, if any, will be strictly limited to the total amount of fees received by the Agency from the Client for the specific Service that resulted in the claim within the [Insert Liability Period, e.g., three (3) months] before the date the claim is received.
6.2 Indemnification
The Client shall indemnify and hold harmless SA Tech Universe from all Losses, Claims, Damages or Liabilities (including attorney’s fees) incurred as a result of: • Any third-party Intellectual Property rights violations resulting from the materials supplied by the Client. • All Claims resulting from the Clients’ use of the Digital Marketing Services.
7. Governing Law and Dispute Resolution
7.1 Governing Law

When you continue to use our Services after any changes, you have accepted and agreed, without limitation, to the new terms.
